Article 1: Agreement to Terms

Definitions

"Products" refers to all research chemicals, compounds, peptides, and nootropics sold by CellSpark. "Research Purposes" refers exclusively to in-vitro laboratory testing and experimentation, not for human or animal use.

Right to Modify

We reserve the right to modify these Terms at any time. The version in effect at the time of your purchase will govern that transaction. Your continued use of the site signifies your acceptance of any changes.

Disagreement with Terms

If you do not agree with any part of these Terms, you must immediately cease all use of our website and services and refrain from making any purchases.

Article 2: User Covenants and Eligibility

Purchaser Qualification

You warrant that you are a qualified researcher, scientist, or affiliated with a recognized research institution, and are at least 21 years of age. You are not purchasing on behalf of any government agency.

Right to Verification

We reserve the right to require verification of your identity, age, and professional affiliation before fulfilling any order. Failure to comply will result in immediate order cancellation and a potential ban.

Legal Compliance

You assume full responsibility for ensuring that your purchase, importation, and use of our Products comply with all local, state, and federal laws of your jurisdiction. You acknowledge that some products may exist in a legal "grey market."

Assumption of Risk

You acknowledge that you are fully aware of the hazards associated with the handling, use, and disposal of these research materials. You voluntarily assume all risks of property damage or personal injury.

Article 3: Account Management & Security

Account Creation

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Responsibility

You are solely responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Prohibited Conduct

You agree not to use our site for any unlawful purpose, to misrepresent your identity, or to interfere with the site's operation. Violation will result in immediate account termination.

No Affiliate Program

CellSpark does not offer any affiliate, referral, or reseller programs. Any representation to the contrary is false and unauthorized.

Article 4: Product Use & Restrictions

Strictly for Research Purposes

All Products are sold exclusively for in-vitro laboratory research purposes. They are not intended for any other use.

Prohibited Uses

Products are NOT for human or animal consumption, diagnostic, therapeutic, agricultural, or any other use. They are not drugs, foods, cosmetics, or supplements and have not been evaluated by the FDA.

No Resale or Redistribution

The Purchaser agrees not to resell, repackage, or redistribute any Products. All purchases are for the sole use of the qualified purchasing entity.

Product Information Disclaimer

Any information provided by CellSpark regarding the products is for informational purposes only and does not constitute a recommendation or endorsement for any specific application.

Article 5: Pricing, Payments & Taxes

Pricing & Currency

All prices are listed in U.S. Dollars (USD) and are subject to change without notice. Prices do not include taxes or shipping fees, which are added at checkout.

Payment Authorization

By providing payment information, you represent and warrant that you are authorized to use the designated payment method. We reserve the right to refuse or cancel any order.

Taxes & Duties

The Purchaser is responsible for all applicable sales, use, and import taxes, duties, and fees associated with the order.

Order Confirmation

An order confirmation does not signify our final acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right to accept or decline your order for any reason.

Article 6: Intellectual Property

Ownership

All content on this website, including text, graphics, logos, and software, is the property of CellSpark and is protected by copyright and other intellectual property laws.

Limited License

You are granted a limited, non-exclusive, non-transferable license to access and use the site for personal, non-commercial purposes, subject to these Terms.

Trademarks

The CellSpark name, logo, and all related names and logos are trademarks of CellSpark. You may not use such marks without our prior written permission.

User Content

Should you submit any content (e.g., reviews), you grant us a perpetual, irrevocable, royalty-free license to use, reproduce, and display such content.

Article 7: Disclaimers & Limitation of Liability

No Warranties

All products are sold "AS IS" without any warranties, express or implied, including the warranty of merchantability and fitness for a particular purpose.

Limitation of Liability

In no event shall CellSpark be liable for any damages of any kind arising from the use or misuse of our products. Our total liability is strictly limited to the purchase price of the product.

Indemnification

You agree to indemnify, defend, and hold harmless CellSpark and its affiliates from any and all claims, liabilities, damages, and legal fees arising from your breach of these Terms or your use/misuse of the products.

Government Seizure

CellSpark is not liable for any loss resulting from the seizure of products by customs, law enforcement, or any other government agency. No refund will be provided for seized goods.

Article 8: Termination of Service

Termination by CellSpark

We reserve the right to suspend or terminate your account and access to our services at our sole discretion, without notice, for any conduct that we believe violates these Terms or is harmful to other users or our business interests.

Termination by User

You may terminate your account at any time by contacting customer support. Termination does not relieve you of any obligations to pay any outstanding fees.

Effect of Termination

Upon termination, your right to use the service will immediately cease. We may delete your account and all related information. You will remain liable for all amounts due up to and including the date of termination.

Survival of Clauses

The provisions of these Terms relating to intellectual property, disclaimers, liability, indemnification, and dispute resolution shall survive any termination of this agreement.

Article 9: Dispute Resolution & Governing Law

Governing Law & Venue

These Terms are governed by the laws of the State of Nevada. Any dispute shall be resolved through final and binding arbitration in Clark County, NV.

Class Action Waiver

You expressly waive your right to participate in any class action lawsuit or class-wide arbitration against CellSpark. All claims must be brought in your individual capacity.

Jury Trial Waiver

By accepting these terms, you knowingly and voluntarily waive your right to a trial by jury for any dispute arising from or related to this agreement.

Prevailing Party

The prevailing party in any arbitration or legal action shall be entitled to recover its reasonable attorneys' fees and costs from the other party.

Article 10: General Provisions

Entire Agreement

These Terms, along with our Shipping and Refund policies, constitute the entire agreement between you and CellSpark, superseding all prior communications.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Force Majeure

We are not liable for failures or delays caused by events beyond our reasonable control, including acts of God, natural disasters, war, pandemics, or carrier failures.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time.
